The material contained in this site is solely for use by holders of the equity in CWT Travel Holdings, Inc. (the Equity), Class A or B stock warrants of CWT Travel Holdings, Inc. (the Warrants) or notes issued by CWT Travel Group, Inc. (the Notes), bona fide prospective investors in the Notes (which are limited to “qualified institutional buyers” within the meaning of Rule 144A of the Securities Act 1933 or non-U.S. persons as defined in Regulation S under the Securities Act), securities analysts providing analysis of an investment in the Notes, on request by a holder of Equity or Warrants bona fide prospective Equity or Warrant transferees (provided such transferees are Accredited Investors and have signed a confidentiality agreement) and market making financial institutions that are satisfactory to CWT.

In addition to the confidentiality certification provided by all registrants to the site upon log in, Representatives of holders of Equity are subject to and must comply with the confidentiality obligations in S 7.2 of the Stockholders Agreement dated November 19, 2021 and Representatives of holders of Warrants are subject to and must comply with the confidentiality obligations in S 9.2 of the Warrant Agreements dated November 19, 2021. CWT reserves the right to require any other registrants or potential registrants to the site to sign a confidentiality agreement prior to providing access to the site.

CWT Travel Group, Inc. (“CWT”) is the issuer of 8.50% Senior Secured Notes due 2026 (the “Notes”). Under the terms of the Senior Secured Notes Indenture dated November 19, 2021, CWT agreed to provide annual reports, quarterly reports and certain other material events reports containing information about CWT’s group to the holders of its Notes. In addition, under the terms of the Stockholders’ Agreement dated November 19, 2021 and the Class A and Class B Warrant Agreements dated November 19, 2021, CWT Travel Holdings, Inc. agreed to provide its stockholders and warrant holders annual reports, quarterly reports and certain other material events reports containing information about CWT’s group.

CWT Travel Group, Inc. is privately rated by two Nationally Recognized Statistical Rating Organizations (“NRSRO”). Further information on CWT’s private rating’s may be requested by emailing ir@mycwt.com.
